Welcome to CampusStudy!
These Terms and Conditions ("Terms") govern your access to and use of CampusStudy, including our mobile applications, websites, dashboards, and related services (collectively, the "Services").
CampusStudy is operated by Sencorp LLC, a Georgia limited liability company ("Sencorp," "CampusStudy," "we," "us," or "our").
By accessing or using the Services, creating an account, joining an organization, or purchasing a subscription, you agree to these Terms. If you do not agree to these Terms, you may not use the Services.
Definitions
- "User" or "you" means any individual who accesses or uses the Services.
- "Organization" means a chapter, fraternity, sorority, school organization, or other group that uses CampusStudy.
- "Organization Administrator" means an owner, administrator, advisor, or other User authorized to manage an Organization through CampusStudy.
- "Services" means the CampusStudy mobile applications, websites, dashboards, software, and related features and services.
Eligibility
- You must be at least 18 years old or the age of legal majority in your jurisdiction to create an account or use CampusStudy.
- By using CampusStudy, you represent that you have the legal capacity to agree to these Terms.
Accounts and Security
- You are responsible for maintaining the confidentiality and security of your account credentials and for activity occurring through your account.
- You agree to provide accurate information and keep your account information reasonably current.
- You may not access another person's account without authorization or allow another person to impersonate you.
- You must notify us promptly if you believe your account has been accessed or compromised without authorization.
Organizations and Administrators
- CampusStudy allows Users to participate in Organizations managed by Organization Administrators.
- Organization Administrators may configure settings, create study locations, establish study-hour requirements or goals, manage members, view study activity, and otherwise administer their Organization.
- If you act as an Organization Administrator, you represent that you have authority to act on behalf of the applicable Organization.
- Organization rules, study-hour requirements, membership requirements, disciplinary decisions, and other policies established by an Organization are determined by that Organization and not by CampusStudy.
- CampusStudy is not responsible for decisions made by an Organization or its administrators based on information available through the Services.
Study Hours and Location Features
- CampusStudy may use device location information and other device capabilities to provide features such as verifying presence at approved study locations, starting or stopping study sessions, and recording study activity.
- Study-hour records generated by CampusStudy are intended to assist Organizations in tracking study activity.
- We do not guarantee that any location determination, timer, study record, or other measurement will always be accurate, complete, or uninterrupted.
- Factors outside our control, including device settings, GPS accuracy, operating system restrictions, network connectivity, battery optimization, and background processing limitations, may affect these features.
- You are responsible for reviewing your recorded activity and notifying the appropriate Organization Administrator if you believe a record is inaccurate.
Acceptable Use
You agree not to:
- Use CampusStudy for any unlawful, fraudulent, abusive, or unauthorized purpose.
- Attempt to gain unauthorized access to the Services, another User's account, or any systems or networks connected to CampusStudy.
- Interfere with, disrupt, damage, or impair the operation, security, or performance of the Services.
- Circumvent or attempt to circumvent study-location requirements, timers, authentication systems, access controls, or other technical restrictions.
- Submit false or misleading study activity or manipulate CampusStudy to obtain credit for activity that did not occur.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services except to the extent such restriction is prohibited by applicable law.
- Use bots, scrapers, automated systems, or other automated methods to access or extract information from the Services without our prior written permission.
- Introduce viruses, malicious code, or other harmful material into the Services.
- Use the Services in a manner that infringes or violates the rights of another person or entity.
Suspension and Termination
- We may suspend, restrict, or terminate your access to the Services if we reasonably believe you have violated these Terms, created a security risk, engaged in fraudulent or abusive activity, or used the Services in a manner that could harm CampusStudy, Sencorp, another User, or a third party.
- You may stop using CampusStudy at any time and may delete your account using available account-management features.
- Termination of an individual User's account does not necessarily terminate an Organization's subscription.
User Content
- You may be able to provide information, text, images, feedback, or other materials through the Services ("User Content").
- You retain ownership of your User Content.
- You grant Sencorp LLC a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, and otherwise use User Content as reasonably necessary to operate, provide, secure, improve, and support the Services.
- You represent that you have the rights necessary to provide any User Content you submit and that your User Content does not violate applicable law or the rights of any third party.
Intellectual Property
- The Services, including CampusStudy software, designs, interfaces, graphics, logos, trademarks, text, databases, and other materials provided by us, are owned by or licensed to Sencorp LLC and are protected by applicable intellectual property laws.
- Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use CampusStudy for its intended purposes.
- Nothing in these Terms transfers ownership of CampusStudy or any Sencorp LLC intellectual property to you.
- You may not copy, modify, distribute, sell, sublicense, commercially exploit, or create derivative works from the Services except with our prior written permission or as otherwise permitted by applicable law.
Feedback
- If you provide ideas, suggestions, or feedback regarding CampusStudy, you grant Sencorp LLC the right to use that feedback without restriction or compensation to you.
Subscriptions and Payments
- Certain CampusStudy features may require a paid subscription purchased by or on behalf of an Organization.
- Subscription prices, billing periods, trial periods, and other applicable terms will be disclosed at the time of purchase.
- Unless otherwise stated at the time of purchase, subscriptions are billed in advance.
- If a subscription is configured to renew automatically, it will renew for the applicable renewal period unless canceled before renewal.
- By purchasing an automatically renewing subscription, the purchaser authorizes us or our payment processor to charge the applicable payment method for each renewal until the subscription is canceled.
- You may cancel automatic renewal using the cancellation functionality provided through CampusStudy or by contacting us using the contact information below.
- Cancellation prevents future renewal charges but does not ordinarily provide a refund for an already-paid subscription period.
- Payments and subscription fees are non-refundable except where required by applicable law or where we expressly agree otherwise.
- We may change subscription pricing for future subscription periods. If applicable, we will provide notice before a pricing change takes effect.
- We may use third-party payment processors to process payments. We do not directly store all payment-card information submitted to those processors.
Free Trials
- We may offer free or promotional trial periods.
- Any applicable trial length, payment requirements, renewal terms, and price following the trial will be disclosed when the trial is started.
- If a trial automatically converts into a paid subscription, you must cancel before the end of the trial to avoid being charged, unless otherwise stated when you begin the trial.
Privacy
- Your use of CampusStudy is also subject to our Privacy Policy, which describes how we collect, use, disclose, and protect information associated with the Services.
Third-Party Services
- CampusStudy may use, integrate with, or provide access to services operated by third parties, including payment processors, mapping providers, hosting providers, analytics services, app stores, and other technology providers.
- We are not responsible for the availability, security, content, or independent practices of third-party services.
- Your use of a third-party service may also be governed by that third party's terms and privacy policies.
Service Availability and Changes
- We may modify, update, suspend, discontinue, or change portions of the Services from time to time.
- We do not guarantee that any particular feature will remain available permanently.
- We may perform maintenance or experience interruptions caused by technical failures, third-party providers, network conditions, security incidents, or other circumstances.
Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Services are provided "as is" and "as available."
Sencorp LLC disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Services will be uninterrupted, error-free, completely secure, or that study-hour, location, or other records will always be accurate.
Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.
Limitation of Liability
To the maximum extent permitted by applicable law, Sencorp LLC and its members, managers, officers, employees, contractors, affiliates, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity arising from or related to the Services.
To the maximum extent permitted by law, the total aggregate liability of Sencorp LLC arising out of or relating to the Services or these Terms will not exceed the greater of:
- $100; or
- The amount paid to Sencorp LLC for the applicable CampusStudy subscription during the 12 months immediately preceding the event giving rise to the claim.
These limitations apply regardless of the legal theory on which a claim is based and even if we have been advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
Indemnification
To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Sencorp LLC and its members, managers, officers, employees, contractors, affiliates, and agents from claims, liabilities, damages, losses, and reasonable expenses arising from:
- Your unlawful or unauthorized use of the Services.
- Your material violation of these Terms.
- Your infringement or violation of another person's rights.
- User Content that you submit through the Services.
If you use CampusStudy on behalf of an Organization, this obligation also applies to claims arising from your unauthorized actions on behalf of that Organization.
Force Majeure
- Sencorp LLC will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, severe weather, internet or telecommunications failures, power outages, acts of government, labor disputes, war, terrorism, civil unrest, failures of third-party service providers, or widespread technology outages.
Dispute Resolution and Arbitration
Please read this section carefully. It affects your legal rights.
Before initiating formal proceedings, you and Sencorp LLC agree to make a reasonable good-faith effort to resolve any dispute informally by providing written notice describing the dispute and requested resolution.
Except for claims that qualify for small claims court or claims seeking injunctive or equitable relief relating to intellectual property rights, unauthorized access, or misuse of the Services, disputes arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA").
For disputes involving an individual consumer, arbitration will be governed by the AAA Consumer Arbitration Rules then in effect. For other disputes, the applicable AAA arbitration rules will govern.
The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.
Arbitration will take place on an individual basis. You and Sencorp LLC waive the right to have covered disputes decided by a judge or jury.
Class Action Waiver
To the maximum extent permitted by law, you and Sencorp LLC agree that each party may bring claims against the other only in an individual capacity and not as a plaintiff, class member, or representative in any purported class, collective, consolidated, or representative action.
An arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party's individual claim, except where applicable law requires otherwise.
Arbitration Opt-Out
- You may opt out of the arbitration agreement and class action waiver by sending written notice to us within 30 days after you first accept these Terms.
- Your notice must include your name, the email address associated with your CampusStudy account, and a clear statement that you wish to opt out of the arbitration agreement.
- Opting out of arbitration will not affect any other provision of these Terms.
Governing Law
- Except to the extent preempted by federal law or otherwise required by applicable law, these Terms and any dispute arising from them are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.
- For any dispute that is not required to be arbitrated, you and Sencorp LLC consent to the exclusive jurisdiction of the state and federal courts located in Georgia, except where applicable law gives you the right to bring a claim in another jurisdiction.
Electronic Communications
- By using CampusStudy, you consent to receiving electronic communications relating to your account, transactions, subscriptions, security, and the Services.
- Where required by law, marketing communications will be subject to separate consent and opt-out requirements.
Changes to These Terms
- We may update these Terms from time to time.
- If we make material changes, we may provide notice through the Services, by email, or through another reasonable method.
- The updated Terms will become effective on the date stated at the top of these Terms, subject to any additional notice or consent required by applicable law.
- Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms where permitted by law.
Severability
- If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
No Waiver
- Our failure to enforce any provision of these Terms does not waive our right to enforce that provision later.
Assignment
- You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
- Sencorp LLC may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or other transfer of the CampusStudy business.
Entire Agreement
- These Terms, together with our Privacy Policy and any additional terms presented when purchasing or using a specific feature, constitute the entire agreement between you and Sencorp LLC regarding your use of CampusStudy.
Survival
- Provisions that by their nature should survive termination will survive, including provisions regarding intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.
